Terms of consultancy.

  1. Scope of Services: Engineering Certification Australia (the "Company") will provide consulting services to the client (the "Client") as outlined in a separate proposal or agreement between the Company and the Client. The scope of services may include, but is not limited to, design, analysis, project management, and other engineering-related services.

  2. Payment Terms: The Client shall pay the Company for services rendered in accordance with the terms outlined in the proposal or agreement between the Company and the Client. Invoices will be issued on a monthly basis, and payment is due within 14 days of the invoice date.

  3. Confidentiality: The Company and the Client shall keep all confidential information shared between them during the course of the consultancy strictly confidential and shall not disclose such information to any third party without the express written consent of the other party.

  4. Intellectual Property Rights: The Company shall retain all intellectual property rights to any work product or deliverables created by the Company in the course of providing services to the Client. The Client shall have a non-exclusive, non-transferable license to use such work product or deliverables for the purposes outlined in the proposal or agreement between the Company and the Client.

  5. Termination: Either party may terminate the consultancy agreement upon written notice to the other party. In the event of termination, the Company shall invoice the Client for any services rendered up to the date of termination.

  6. Governing Law and Dispute Resolution: This agreement shall be governed by the laws of Australia and any disputes arising out of or related to this agreement shall be resolved through mediation, and if the dispute is not resolved, by the courts of Australia.

  7. Assignment: The Client shall not assign this agreement or delegate any of its obligations hereunder without the prior written consent of the Company.

  8. Entire Agreement: These terms of consultancy, together with any proposal or agreement between the Company and the Client, constitute the entire agreement between the parties and supersede all prior agreements or understandings, whether written or oral.

By entering into a consultancy agreement with Engineering Certification Australia, the Client acknowledges and agrees to be bound by these terms of consultancy.
